1. Who we are and what Flora Connect is

Flora Connect ("Flora Connect", "we", "us") operates an online business-to-business platform where commercial growers and professional buyers publish stock, publish sourcing requests and contact each other directly. We are a listing and messaging venue only. We are not a seller, buyer, broker, agent, auctioneer, carrier, freight forwarder, payment processor or escrow service for any trade agreed between members.

2. Trade accounts only

Accounts are for registered businesses acting in the course of their trade. By registering you confirm that you are authorised to act for the business you name, that the business details you give are accurate, and that you are not a consumer. Each account is permanently registered as either a grower or a buyer and the role cannot be changed afterwards.

3. Your content and listings

You are solely responsible for everything you publish: descriptions, species names, pot sizes, heights, quantities, availability, prices, photos, certifications and messages. You warrant that your content is accurate, lawful, not misleading, and that you hold the rights to any photo you upload. We may remove or suspend any content or account that appears inaccurate, unlawful, abusive or harmful to other members, without notice.

4. No liability for quality, quantity or fulfilment

Flora Connect gives no warranty of any kind about goods offered or requested on the platform. In particular we are not responsible and accept no liability for:

• plant quality, health, grade, size, variety accuracy, phytosanitary status or fitness for any purpose;
• quantities delivered, shortages, substitutions, damage, loss or deterioration in transit;
• whether a member actually holds the stock listed, or delivers at all;
• compliance with plant passport, phytosanitary, customs, import/export or labelling rules — this is the responsibility of the trading parties;
• the identity, solvency, licensing or conduct of any member.

Every trade is a direct contract between the grower and the buyer on their own terms. Carry out your own checks before you trade.

5. Transport and logistics

Transport is not included and is never arranged, carried out, supervised or insured by Flora Connect. Shipping, loading, CC container handling and returns, customs handling, delivery times, insurance and damage claims are agreed and paid for directly between the buyer and the grower. Any transport information shown on the platform is member-supplied and indicative only.

6. Payments and invoicing between members

Flora Connect does not process, hold, guarantee or recover payments for goods. Invoicing, VAT treatment, payment terms, deposits, credit checks, currency, late payment, refunds, returns and disputes are entirely between the trading businesses. We are not a party to those invoices and have no obligation to intervene, mediate or compensate in any payment dispute.

7. Subscriptions and paid extras

Payments made to Flora Connect cover only platform access and optional extras: grower plans, buyer plans, highlighted or boosted posts, verified badge applications and bulk upload. Prices are shown before purchase and are exclusive of any applicable VAT unless stated. Subscriptions renew automatically until cancelled and can be cancelled at any time for the end of the current billing period. One-off extras such as boosts are consumed on activation and are non-refundable. Promotional free periods apply as described at the moment of sign-up and end automatically. Payment is handled by our payment provider; we do not store your card details.

8. Verified grower badge and reviews

The verified badge means we received and checked business documents supplied by the grower. It is not a guarantee of product quality, financial standing or performance. Reviews may only be left by a buyer who submits proof of a completed purchase. Reviews are the personal opinion of the reviewing business, not a statement by us. We may remove reviews that are fraudulent, abusive or unverifiable.

9. Acceptable use

You may not use the platform to publish false or scraped listings, to spam members, to extract data in bulk, to trade protected, stolen, illegally propagated or variety-protected material without rights, to bypass sanctions, or to interfere with the technical operation of the service. Contact details obtained on the platform may only be used for trade communication with that member.

10. Availability

We aim to keep the platform available but we do not guarantee uninterrupted service. We may change, suspend or discontinue features, and we may perform maintenance without notice.

11. Limitation of liability

To the fullest extent permitted by law, Flora Connect is not liable for lost profit, lost sales, lost stock, wasted expenditure, loss of data, business interruption or any indirect or consequential loss arising from use of the platform or from any trade between members. Where liability cannot be excluded, our total aggregate liability to you is limited to the platform fees you paid us in the twelve months before the event giving rise to the claim. Nothing in these terms excludes liability for fraud or for anything that cannot lawfully be excluded.

12. Indemnity

You will indemnify Flora Connect against claims, losses and costs arising from your listings, your content, your trades with other members, or your breach of these terms.

13. Suspension and termination

You may close your account at any time. We may suspend or terminate an account that breaches these terms, that harms other members, or where required by law. Paid periods already used are not refunded on termination for breach.

14. Data protection

We process personal data as described in our Privacy Policy, in line with the GDPR.

14a. Business Hub data

By using the Business Hub you agree that Flora Connect holds proprietary ownership of, and full access to, all company details and business data uploaded or entered in the Business Hub — including client lists, contact details, sales, payments, stock, production batches, bills of lading and waste records. Flora Connect may store, review and use this data to operate, analyse and improve the platform. Personal data contained in it is processed as described in our Privacy Policy.

15. Changes, law and jurisdiction

We may update these terms; material changes will be notified in the app or by email and continued use counts as acceptance. These terms are governed by the laws of the European Union member state in which Flora Connect is established, and the courts of that state have exclusive jurisdiction, without prejudice to mandatory local rules.
